By accessing or otherwise using the website eisenhowerhealth.org (the “Website”), you signify your acceptance of these terms and conditions. EMC may revise and update these Terms at any time. All changes are effective immediately when we post the modified Terms and update the “Last Modified” date. Your continued access to or other use of the Website following the posting of revised Terms means that you accept and agree to these changes.

- Account Creation
Some Website features and functionalities may require certain registration details or other information. For any feature of the Website that requires username and password, you must provide correct, current and complete information. We reserve the right to immediately suspend or terminate or restrict your access to or your use of the website at any time, without notice or liability, if EMC determines or reasonably believes in its sole discretion that you have breached these Terms, violated any law, rule, or regulation, engaged in other inappropriate conduct, or for any other business reason. Upon suspension or termination of your access to or other use of the Website or upon notice from EMC, all rights granted to you under these Terms will cease immediately, and you agree that you will immediately discontinue use of the Website.

8. INDEMNIFICATION
You agree to indemnify, defend, and hold EMC Parties harmless from and against any and all claims, causes of action, allegations (threatened or pending), liabilities, damages, losses, costs, and other expenses (including reasonable attorneys’ fees that arise directly or indirectly and costs) arising out of or in connection with any of the following: (i) for any breach of these Terms; (ii) your access to or other use of the Website; (iii) your violation of any laws, rules, regulations, codes, statutes, ordinances, or orders of any governmental or quasi-governmental authorities; (iv) your violation of the rights of any third-party including any intellectual property, publicity, confidentiality, property, or privacy right; or (v) any misrepresentation made by you. EMC reserves the right to control the defense and settlement of any third-party claim for which you indemnify EMC Parties under these Terms, and you will assist us in exercising such rights. You will not in any event settle any claim without the prior written consent of EMC.
9. DISPUTE RESOLUTION: MANDATORY CLASS, MASS, COLLECTIVE, AND REPRESENTATIVE ACTION WAIVER
Important: This Section 9 impacts certain legal rights and includes a waiver of the right to participate in any form of class, mass, collective, or representative action, and limits your ability to obtain certain remedies and forms of relief. Please review carefully.
Dispute Resolution. If a disagreement arises between you and EMC Parties regarding any claim or controversy at law or equity arising out of, relating to, or connected in any way with these Terms, including access to or other use of the Website, (a “Dispute”), prior to initiating any legal action, you must first contact us directly by email at tellus@eisenhowerhealth.org. You must describe the nature of the Dispute, the basis for your claims and the resolution you are seeking. You agree to communicate promptly with EMC in good faith to address the Dispute informally for at least thirty (30) calendar days. You agree that the term “Dispute” in these Terms will have the broadest meaning possible.
Class, Mass, Collective, and Representative Action Waiver. You agree that you will not bring any action against any EMC Party as a class plaintiff or class representative. You agree that you will not join as a class member or participate as an adverse party in any way in a class, mass, or collective action lawsuit against any EMC Party. Nothing in this Section, however, limits your rights to bring a lawsuit as an individual plaintiff.
Time Bar. ANY CLAIM OR ACTION AGAINST ANY EMC PARTY MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE FIRST OCCURRENCE OF THE KIND OF ACT, EVENT, CONDITION, OR OMISSION UPON WHICH SUCH CLAIM OR ACTION IS BASED – OR WITHIN THE STATUTE OF LIMITATIONS FOR SUCH CLAIM – WHICHEVER IS SHORTER. ANY CLAIM THAT IS NOT FILED WITHIN THAT TIME WILL BE FOREVER BARRED.
10. THIRD-PARTY LINKS AND SERVICES
The Website may include links to or content provided by other services that EMC does not control. Features or content may be subject to third-party terms. You agree to waive all claims against EMC related to third-party links or content.
11. DONATIONS
We may offer features on the Website to permit you to donate to EMC. Monetary donations on the Website may be processed by a third-party payment processor (“Payment Processor”). Your donation may be subject to additional Payment Processor terms.
The Payment Processor may accept different forms of payment, such as credit and debit cards. It may obtain pre-approval for an amount up to the amount of the payment. You represent and warrant that (i) any information you provide to EMC and/or our Payment Processor is true, correct, and complete; (ii) that you are the person in whose name the payment method, credit card, or debit card was issued and/or you are authorized to make a charges with the relevant payment method, credit card, or debit card; (iii) charges incurred by you will be honored by your credit/debit card company or bank; and (iv) you will pay the charges incurred by you in the amounts posted, including any applicable taxes. You acknowledge that there may be an authorization hold using your payment information in order to verify information provided.
You agree to waive all claims against EMC Parties related to any payments outside of EMC’s control, regardless of whether such payments are authorized or unauthorized.
12. MISCELLANEOUS
- Jurisdiction and Venue
These Terms will be construed and enforced in accordance with the laws of California. You agree that any cause of action arising under these Terms or otherwise involving the Website will be brought exclusively in the local, state, or federal courts of California. You expressly consent to personal jurisdiction and venue in such courts, and waive any objection to personal jurisdiction or venue in the local, state, or federal courts of California.
- Waiver; Severability; Assignment
No waiver by EMC of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of EMC to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.
EMC may assign its rights and obligations under these Terms, in whole or in part, to any party at any time without any notice. These Terms may not be assigned by you, and you may not delegate your duties under them, without the prior written consent of an officer of EMC.
- Entire Agreement; Interpretation
These Terms and all documents referenced herein constitute the sole and entire agreement between you and EMC regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, regarding the Website. The summaries of provisions and Section headings are provided for convenience only and shall not limit the full Terms.
- Third-Party Sites & Other Information
The Website may contain, as a convenience to you, content, links, and other information submitted by third parties over whom EMC has no control or responsibility. EMC has no obligation to monitor, control, or restrict the use of the Website, or third-party websites or services accessible via links available. These other websites or services are not under EMC’s control, and you acknowledge that, whether or not such websites or services are affiliated in any way with EMC, EMC is not responsible for the accuracy, copyright compliance, legality, decency, or any other aspect of the content of such websites or services. The inclusion of links does not imply endorsement of any website or service by EMC or any association with its operators.
- Investigations; Cooperation with Law Enforcement
EMC reserves the right to investigate and prosecute any suspected or actual violations of these Terms. EMC may disclose any information as necessary or appropriate to satisfy any law, regulation, legal process, or government request.
